Welcome to StudioStack. These Terms of Service ("Terms") govern your access to and use of our financial management platform and services. By accessing or using StudioStack, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using StudioStack, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our service.

These Terms constitute a legally binding agreement between you and StudioStack. We reserve the right to modify these Terms at any time, and your continued use of the service after such modifications constitutes your acceptance of the updated Terms.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use StudioStack. By using our service, you represent and warrant that you meet these eligibility requirements.

3.2 Account Creation

To use StudioStack, you must create an account by providing accurate, complete, and current information. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Ensuring your account information remains accurate and up-to-date

3.3 Account Suspension

We reserve the right to suspend or terminate your account at any time, with or without notice, for violation of these Terms or for any other reason we deem appropriate.

4. Subscription Plans and Pricing

4.1 Plans

StudioStack offers multiple subscription plans:

• Free Plan: Limited features with usage restrictions
• Pro Plan: Enhanced features for individual users
• Studio Plan: Full features for teams and agencies

4.2 Pricing

Subscription fees are billed in advance on a monthly or annual basis, as selected by you. All fees are in Euros (EUR) unless otherwise stated. Prices are subject to change with 30 days' notice.

4.3 Free Trial

We offer a 14-day free trial for paid plans. Your credit card will not be charged during the trial period. After the trial ends, your subscription will automatically begin unless you cancel before the trial period expires.

4.4 Payment

By providing payment information, you authorize us to charge the applicable fees to your payment method. You are responsible for maintaining valid payment information and paying all fees on time.

4.5 Refunds

Subscription fees are non-refundable except as required by law or as expressly stated in these Terms. If you cancel your subscription, you will continue to have access to paid features until the end of your billing period.

5. User Responsibilities and Conduct

5.1 Acceptable Use

You agree to use StudioStack only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the service or servers
• Use automated systems (bots, scrapers) without permission
• Impersonate any person or entity
• Harass, threaten, or harm others
• Use the service for fraudulent or illegal activities
• Reverse engineer, decompile, or disassemble our software

5.2 Your Content

You retain ownership of all content you upload, create, or store in StudioStack ("Your Content"). By using our service, you grant us a limited license to use, store, and process Your Content solely to provide and improve our services.

You are responsible for:

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use StudioStack for your business purposes in accordance with these Terms. This license does not include the right to:

• Modify, copy, or create derivative works of our service
• Distribute, sell, lease, or sublicense our service
• Use our service to build a competitive product or service

6.3 Feedback

If you provide us with feedback, suggestions, or ideas about StudioStack, you grant us a perpetual, worldwide, royalty-free license to use and incorporate such feedback without compensation or attribution.

7. Data Privacy and Security

We take data privacy and security seriously. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

We implement industry-standard security measures to protect your data, but we cannot guarantee absolute security. You acknowledge that:

• Internet transmission is never completely secure

• You are responsible for maintaining backup copies of Your Content

8. Service Availability and Maintenance

8.1 Service Level

We strive to provide reliable service with minimal downtime. However, we do not guarantee that the service will be uninterrupted, error-free, or completely secure.

10. Cancellation and Termination

• No refund will be provided for the remaining period

• You may export your data before the end of your subscription

10.2 Termination by Us

10.3 Effect of Termination

Upon termination of your account:

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to:

StudioStack is a tool to assist with financial management, but we do not provide:

• Financial, legal, or tax advice
• Guarantee of compliance with any laws or regulations
• Warranty that our service meets all your business needs

You should consult with qualified professionals regarding financial, legal, and tax matters.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STUDIOSTACK AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

This includes but is not limited to damages for:

• Loss of profits, revenue, or business opportunities
• Loss or corruption of data
• Business interruption
• Loss of goodwill or reputation
• Cost of substitute services

Our total liability to you for all claims arising from or related to the service shall not exceed the greater of:

• The amount you paid to StudioStack in the 12 months preceding the claim, or
• €100

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you.

13. Indemnification

You agree to indemnify, defend, and hold harmless StudioStack and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the service
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your Content or any content you submit through the service
• Your violation of any applicable laws or regulations

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union and the country where StudioStack is registered, without regard to conflict of law principles.

14.2 Arbitration

Any dispute arising out of or relating to these Terms or the service shall be resolved through binding arbitration, except that either party may seek injunctive or other equitable relief in court to prevent infringement of intellectual property rights.

14.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. General Provisions

You agree to comply with all applicable export and import control laws and regulations in your use of the service.

These Terms are provided in English. Any translations are provided for convenience only. In case of conflict, the English version shall prevail.

16. Updates to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:
